How we work

Three phases, five gates — and a defined right to stop.

Every engagement runs through the same operating system. A project cannot move past a gate until its criteria are met, and no gate is met by enthusiasm.

  1. Phase 014–8 weeks

    Feasibility and Architecture

We establish whether the asset and the structure can carry a tokenized offering before anyone spends money on execution.

    • Discovery and intake, and the readiness assessment
    • Feasibility memo testing the thesis without blockchain
    • Asset, ownership, and entity mapping with tax counsel
    • Capital stack, sources and uses, and tranche plan
    • Token structure, rights, supply, pricing, lockups, and transfer restrictions
    • Gate 1 — Asset viable: clear ownership, credible thesis without blockchain, sponsor aligned
    • Gate 2 — Structure and economics viable: securities and tax counsel confirm entity and tax treatment, the model supports pricing, valuation independently supported
  2. Phase 025–9 months

    Structuring and Execution

We recommend, coordinate, and supervise the licensed parties, build the offering to institutional standard, and take it to issuance and closing on the owner's terms.

    • Legal validation with securities counsel: exemption, eligibility, transfer restrictions, solicitation rules, bad-actor checks
    • Platform onboarding and oversight
    • Offering materials, financial model, and data room
    • Distribution readiness: investor personas, target lists, and the KYC and accreditation flow
    • Capital formation support, where the registered firm solicits and we run process, materials, roadshow logistics, and weekly reporting
    • Issuance, closing, and filings
    • Gate 3 — Counsel approves: structure, exemption, and every investor-facing item cleared
    • Gate 4 — Market ready: platform accepts the offering, package complete, distribution channel in place
    • Gate 5 — Launch approved: final compliance check before subscriptions open
  3. Phase 03Ongoing, reviewed annually

    Management and Market Activation

An issued token is the start of an obligation, not the end of a project. Phase 3 is how demand for the asset is maintained after issuance.

    • Compliance calendar and filings
    • Investor reporting and investor relations
    • Distributions and cap table coordination
    • Market activation: asset storytelling, milestone announcements, investor education, media relations
    • Secondary market support: monitoring depth and pricing, and setting realistic expectations
    • Governance, corporate actions, and the design and timing of additional tranches

    No gates. Continuous obligation.

Core principles

The four rules that govern every engagement.

  • The investment thesis comes first and tokenization is infrastructure. Every project must answer: why is this a good investment if blockchain did not exist?
  • Projects move only through go/no-go gates. We assess whether a deal can close and whether it is worth pursuing. Closing still depends on investors, market conditions, and regulatory requirements.
  • We tell clients where tokenization does not help, especially on secondary liquidity, which remains thin for private securities.
  • Phase 3 carries the same weight as the phases before it. Secondary liquidity is not switched on at issuance.

Phase 3 in full

Demand is maintained, not launched.

Secondary liquidity is not switched on at issuance. It depends on a credible asset story, steady reporting, and continuing investor demand, and Phase 3 is how that demand is maintained. The firm brings a long-established communications and technology consulting practice to this work, which platform-led vendors do not.

  • Compliance calendar and filings
  • Investor reporting and investor relations
  • Distributions and cap table coordination
  • Market activation: asset storytelling, milestone announcements, investor education, media relations
  • Secondary market support: monitoring depth and pricing, and setting realistic expectations
  • Governance, corporate actions, and the design and timing of additional tranches

Who does what

We own the commercial architecture. Licensed parties own anything regulated.

This split is not a disclaimer. It is the reason an owner can trust our recommendation about a vendor we do not profit from.

Preferred partner bench

Default partners on every deal, plus a vetted alternative when a deal does not fit.

We are affiliated with our preferred tokenization platform, broker-dealer, and ATS, and we recommend them by default. That affiliation is disclosed in writing to every client, we take no commission on capital raised, and we will run a platform comparison and RFP whenever a client asks or the deal calls for it. Saying this plainly is the point.
