Services
What we orchestrate, phase by phase.
We are engaged for disciplined execution, not a promise of closing. We coordinate structure, counsel, capital stack, platform, investor materials, distribution, and post-issuance operations as one transaction.
Phase 1 — Feasibility and Architecture
Four to eight weeks. Before anything is built, we establish whether it should be.
- Discovery and intake with the sponsor and asset team
- Tiered readiness assessment: not ready, viable, or market-ready
- Feasibility memo testing the thesis without blockchain, including a recommendation against proceeding
- Asset, ownership, and entity mapping with tax counsel
- Capital stack, sources and uses, and tranche plan
- Token structure, rights, supply, pricing, lockups, and transfer restrictions
Phase 2 — Structuring and Execution
Five to nine months. We recommend, coordinate, and supervise the licensed parties; the client engages them directly.
- Legal validation with securities counsel: exemption, eligibility, transfer restrictions, solicitation rules, bad-actor checks
- Platform onboarding and oversight
- Offering materials, financial model, and data room built to institutional standard
- Distribution readiness: investor personas, target lists, KYC and accreditation flow
- Capital formation support, where the registered firm solicits and we run process, materials, roadshow logistics, and weekly reporting
- Issuance, closing, and filings
Phase 3 — Management and Market Activation
Ongoing, reviewed annually. A core service, not an epilogue. Secondary liquidity is not switched on at issuance; it depends on a credible asset story, steady reporting, and continuing investor demand, and this is how that demand is maintained.
- Compliance calendar and filings
- Investor reporting and investor relations
- Distributions and cap table coordination
- Market activation: asset storytelling, milestone announcements, investor education, media relations
- Secondary market support: monitoring depth and pricing, and setting realistic expectations
- Governance, corporate actions, and the design and timing of additional tranches
We bring a long-established communications and technology consulting practice to Phase 3. Platform-led vendors do not.
The lowest-risk way to start
Second-opinion audit of a proposal you have already received.
A fixed-fee review of a tokenization proposal an owner has received from another firm. Delivered in two weeks, in writing. Fee quoted on a short call.
- Structure: whether the entity and security can carry the offering as proposed
- Economics: pricing, tranche design, and whether the model supports them
- Fee load: what you are paying, to whom, and on what basis
- Platform lock-in: what you can and cannot move later
- Regulatory assumptions: exemption, eligibility, and transfer restrictions
- Realistic liquidity: what secondary trading would actually look like
Focused engagements
Smaller mandates, when a full phase is not what you need.
- Readiness assessment on its own
- Platform comparison and RFP
- Investor package and data room build
- Market activation campaigns
- Additional tranche design
