Pricing

Flat professional fees, phase by phase. Never a percentage of the raise.

Our compensation cannot improve because your offering got larger. That is deliberate: it keeps our advice independent and keeps us firmly out of broker-dealer territory.

Fee model by phase
PhaseDurationFee basis
Phase 1 — Feasibility and Architecture4–8 weeksFixed fee, quoted after discovery. Priced so that stopping at Gate 1 is an acceptable outcome.
Phase 2 — Structuring and Execution5–9 monthsMilestone fees tied to the gates, plus a monthly project management fee during execution.
Phase 3 — Management and Market ActivationOngoing, reviewed annuallyMonthly retainer scoped to reporting, investor relations, and market activation.

Fees are priced by milestones, never by asset value or capital raised. Where a phase falls depends on the complexity tier below, the state of your records, and how much of the bench a deal requires. We quote in writing after a short call, and we will tell you when the work is not worth the fee.

Why this model

Success fees buy you an advocate for closing, not for you.

A firm paid on capital raised has one recommendation available to it. Flat fees let us fail a gate, tell you to stop, or send you to a cheaper path without losing money by being honest.

Guardrails

The lines we hold, in writing.

  • No fee, bonus, or fee increase is linked to dollars raised, investors closed, or offering success.
  • Milestone fees tie to our deliverables and the gates, not to closing capital.
  • We do not solicit investors. Outreach runs through the registered firm.
  • Fees and our platform affiliation are disclosed in every engagement letter.
  • Our securities counsel reviews the engagement letter template and any deal-specific changes.
  • Fees are priced by milestones, never by asset value or capital raised.
  • Third-party costs are contracted and billed directly by those parties, never marked up, and we receive no referral fees.

Questions owners ask first

What does the first phase cost?
Phase 1 is a fixed fee, quoted in writing after a short call and set against your complexity tier. It covers the readiness assessment, feasibility memo, and asset and entity architecture, and it is priced so that stopping at Gate 1 is an acceptable outcome for you.
What are third-party costs?
Counsel, tax, valuation, audit, platform, transfer agent, and custody are contracted and billed directly by those parties. They are never marked up, and we receive no referral fees.
Can you work on contingency?
No. Contingency compensation on a securities offering is exactly the conflict our model exists to remove.
What happens if a gate fails?
The project stops. You keep every dollar of budget you have not yet committed, and you receive the written analysis explaining why.
